Thanks for opening this thread @Loring.

I think the best thing would be to understand the plan and next steps as you see them - specifically relating to the financial components discussed in Prop #60. I’ve seen some stuff scattered around in other chats and threads, but it could be good to set the DAOs expectations clearly.

For instance, I assume that the feedback thread that you opened was step 1 to inform a proposal that Brainbot plans to go live with on “X” date? It would be great to know what that date is, and what other steps or info Brainbot would like from the DAO to inform the proposal. Could you elaborate on this?

Perhaps if we all communicate openly about the target amounts and what might be possible inside those amounts, the DAO can understand the tradeoffs of different burn rates and make some informed decisions that would have a large consensus of support.

Hi @5pence -

Thank you for your questions.

As mentioned earlier, brainbot will propose the cancellation of the current monthly recurring grant and simultaneously propose a new, reduced grant.

Here is our current process and timeline:

  • March 17 or 18: Post temp check (3 options for a new, reduced grant) on the Shutter Forum

  • March 24: Put temp check to a vote on Snapshot Vote

  • March 27: Additional feedback and refinements

  • April 7 or April 14 (depending on the governance cycle/sprint calendar): Put final proposal to a vote on Decent

  • April 10 or 17: Cancelation of current grant and execution of new, reduced grant

Intro

@han asked me to go back over the messages in the Shutter Friends Telegram group from Feb 10 to March 15 and extract all the questions which had not been answered.

I am sharing the questions and answers below. Please let me know if you have any follow up questions.

Questions & Answers

@acidbird AB [Mar 1, 2025 at 7:09:39 PM]: Please provide a list of brainbot employees working on Shutter.

Most brainbot employees declined permission to share their names publicly at this time.

Please let us know why you would like this information. If there is a compelling reason, brainbot employees may be willing to grant permission.

@acidbird AB [Mar 11, 2025 at 9:17:14 AM]: What tech milestones have been accomplished in the past 2+ years?

brainbot will publish a document outlining technical milestones, decision making, lessons learned and a retro regarding Shutter the DKG and its integrations/products from 2023 to 2025.

@han Han, [Mar 11, 2025 at 11:21:23 AM]: What is brainbot’s plan after all Shutter DAO 0x36 funds have been spent?

This question assumes that Shutter DAO 0x36 will spend all the assets in its treasury. brainbot views this scenario highly unlikely. First, brainbot and Shutter DAO 0x36 both agree that expenses should be reduced, and we are working together to do so. (See: https://shutternetwork.discourse.group/t/temp-check-cancel-current-grant-replace-with-reduced-grant/658.) Second, there are many opportunities for Shutter DAO 0x36 to increase assets, reduce expenses, and leverage tokenmoics. (See: https://shutternetwork.discourse.group/t/brainbot-update/629/7.)

It is important to remember that brainbot and Shutter DAO 0x36 are separate organizations within the Shutter ecosystem. brainbot develops Shutter open source software and manages the Shutter community. Shutter DAO 0x36 selects the Keyper set, determines how revenues from the protocol are allocated, issues and distributes the SHU token, manages SHU tokenomics, and manages the Shutter DAO 0x36 treasury. brainbot cannot speak or act on behalf of Shutter DAO 0x36.

brainbot will continue to develop Shutter open source software and manage the Shutter community even if Shutter DAO 0x36 is unable to provide us with grants to support our work. brainbot will seek funding from grants and other sources. brainbot will adjust our activities to be in line with the funding we receive.

@han Han, [Mar 11, 2025 at 2:57:52 PM]: Please provide more information about the marketing agency. Which firm was that? What have they accomplished?

July - Nov 2024 brainbot worked with Wachsman PR. We hired Wachsman for the launch of encrypted mempools on Gnosis Chain based on Wachman’s experiences while working with Gnosis Chain. We were unsatisfied with the results and we terminated the relationship - and received a partial refund.

Dec 2024 - present brainbot has worked with Luna PR. The current 6-month contract ends in July 2025. After a comprehensive evaluation of various agencies, considering their experience, size, and blockchain expertise, we determined that Luna PR was the most suitable partner for the Shutter objectives. Luna PR has been much more successful. Together, we secured media coverage for key launches (encrypted mempools on Ethereum L1 whitepaper, Shutter API launch), published articles and opeds, recorded podcasts, and conducted PR training for Luis and Loring. Coverage results.

@Ricosworksa Ricky, [Mar 11, 2025 at 4:49:33 PM]: Are the fees generated by the Uniswap pools revenue for Shutter DAO 0x36?

Yes.

@Ricosworksa Ricky, [Mar 12, 2025 at 2:21:48 PM]: The monthly recurring grant has distributed $3,068,000 to brainbot so far, correct?

No, that is not correct.

Shutter DAO 0x36 has disbursed approximately $1,883,295 to brainbot from August 2024 to March 2025 under the monthly recurring grant.

This includes:

moondog, [Mar 12, 2025 at 5:15:11 PM]: I would like brainbot to provide a retrospective doc: use of funds, activities, successes, failures, etc.

brainbot will publish a document outlining technical milestones, decision making, lessons learned (successes/failures) and a retro regarding Shutter the DKG and its integrations/products from 2023 to 2025.

In addition to this and in regards to use of funds, the information in which activities and results the funds are invested is available via our monthly reports to the DAO.

@han Han, [18.03.25 15:41] What does brainbot CEO contribute to the Shutter? Same question for legal and admin costs.

Some fixed costs are directly related to Shutter (and only to Shutter). Other fixed costs are related to brainbot generally.

Presently, brainbot focusses on and only works on Shutter, and so all brainbot fixed costs are covered by the monthly recurring grant from Shutter DAO 0x36. Moving forward, brainbot will start work on additional projects, and so Shutter fixed costs will be covered by the new grant. Other project fixed costs will be covered by other projects’ funding sources. And brainbot fixed costs will be split proportionally between the new grant and the other projects’ funding sources.

Heiko Franßen, as brainbot CEO, assures the team’s full capability to move forward with Shutter. He assures on a wide range of tasks directly and indirectly related to Shutter, including: product and marketing strategy, partnerships, team recruitment and management, stakeholder management, accounting, compliance, administration, and more.

brainbot’s lawyer ensures brainbot and indirectly Shutter DAO 0x36 complies with relevant (and constantly changing) legal and regulatory requirements. Additionally, brainbot’s lawyer prepares and reviews commercial contracts in the context of Shutter, and advises brainbot on its relationship with Shutter DAO 0x36.

brainbot’s admin manager ensures proper supplier payment, invoicing, accounting, and compliance.

@han Han, [18.03.25 16:38] Who is this address? 0xad95859a35a566a4afa61f25c9b0ce7a1c19d3b6

Regardless of whether this question can be answered from brainbot or not, disclosing personal information of any DAO member is not in the interest of the DAO in general. brainbot needs to decline answers about personal information. It will not dox members of Shutter DAO 0x36.

I did not ask you dox any PII information as we have talked about this on the tg chat

It should be disclose if this entity is a shareholder or employee of Brainbot or a third party given this address has never participated any vote or governance but certain has 1.4% of entire token supply.
