Shutter protoDAO Governance Process

1. Standard Proposal Process

Process Summary

  1. A member of the Shutter protoDAO creates a proposal in the Shutter Forum, setting up a corresponding Snapshot proposal for voting.

  2. All members are invited to vote on the Snapshot proposal.

  3. If the Snapshot proposal gains a simple majority (over 50% of votes), it is deemed to have passed. This triggers a cooldown period.

  4. After the cooldown period, the proposal is executed by a multisig group. This group reserves the theoretical right to veto, but such a situation would be exceptional and only taken in the best interest of the protoDAO.

Voting Strategy

Each NFT holder gets one vote per proposal. The decision is based on a simple majority. A minimum quorum of 20% of the total membership is required for a valid vote. All proposals will utilize shielded voting.

Voting Timeline

  • Proposal Period: Minimum 7 days before the Voting Period. This is the time given for a member to create a forum proposal, all proposals have to be posted at least 7 days before the start of the Voting Period they wish to be included in.

  • Voting Period: 7 days. This starts once the Snapshot proposal is set up and voting is live.

  • Cooldown/Execution Period: 1 day. This period begins once the vote has passed and ends with the execution of the proposal.

Member Management

The process for adding and removing members is done via the standard proposal process as outlined above.

2. Keyper Proposals

Process Summary

  1. A member selects a set of Keypers from the list generated through the Keyper application process, then creates a proposal on Snapshot.

  2. The protoDAO members vote on this Snapshot proposal.

  3. If the vote is passed, a cooldown period is initiated.

  4. After the cooldown period, the proposal is executed by the multisig group, leading to an updated list of Keypers on the Gnosis Chain.

Voting Strategy

Voting on a set of Keypers is weighted, meaning each NFT holder can assign weights to each Keyper in the set. This approach provides flexibility and recognizes the varied contributions of different Keypers as well as allows the members to vote for including several interested Keypers.

3. Keyper Application Process

Application Process

Potential Keypers have to create forum proposals in the Shutter Forum to be added to the “potential Keyper list”. There is no need for Snapshot proposals in the Keyper application process. This approach ensures that the selection of Keypers is community-driven, and it nurtures trust and transparency within the protoDAO.

All changes to the list of Keypers should be communicated to members and updated on the Gnosis Chain in a timely manner.


This governance document aims to provide a fair and transparent framework for the operations of the Shutter protoDAO. It should be reviewed and updated periodically to ensure that it continues to serve the best interests of the protoDAO and its members.
